Terms of Service

1. Acceptance

By executing an agency proposal, submitting a project deposit, or accessing foodwisedigital.com, you (“Client” or “Publisher”) agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a culinary publication or business entity, you represent that you hold full legal authority to bind that entity.

2. Scope of Services

Foodwise Digital provides specialized digital agency services for food bloggers and recipe creators, including:

• Brand Identity: Custom logo lock-ups, typography systems, visual style guides, and social media template kits.
• Custom Web Design: Custom mobile-optimized website builds, recipe layout templates, and theme engineering.
• Recipe SEO & Schema: JSON-LD structured data configuration, heading structure auditing, and Core Web Vitals speed optimizations.
• Social & Retainers: Pinterest graphic production, email newsletter template design, and ongoing technical maintenance.

Specific project milestones, deliverables, timelines, and fees are demarcated in individual written Statement of Work (SOW) proposals signed prior to project kickoff.

3. Client Duties

To ensure project deadlines are met, Client agrees to provide necessary brand assets, high-resolution recipe photography, content text, hosting server credentials, and domain DNS access within 10 business days of project kickoff. Delays in Client asset delivery may result in adjusted project completion schedules.

4. Intellectual Property

Upon receipt of 100% full project payment, Client receives full, exclusive copyright ownership of all custom logo graphics, visual branding elements, and custom website code generated specifically for their publication. Foodwise Digital retains the right to display completed project mockups, screenshots, and non-confidential growth metrics in our agency portfolio and marketing materials.

5. Payment Terms

Agency engagements require a non-refundable 50% initial deposit upon contract execution, with the remaining 50% balance due upon final design approval prior to live server deployment. Monthly retainer subscriptions (such as Recipe SEO & Newsletter support) are billed automatically on a recurring monthly cycle.

6. Speed Targets

We build custom websites targeting 95+ Mobile Speed Scores and passing Google Core Web Vitals metrics. However, final speed scores depend on third-party factors outside our direct control, including heavy programmatic ad scripts (e.g., Mediavine, Raptive ad auctions), third-party tracking pixels, and server web host response times.

7. Ad Networks

Our website layouts are engineered to align with Mediavine and Raptive ad density guidelines. However, Client remains responsible for complying with individual ad network publishing policies and maintaining active ad network approval status.

8. Warranty

Foodwise Digital provides a 30-day post-launch warranty covering bug fixes and code corrections for any technical issues arising directly from our custom code. Warranty coverage excludes errors caused by third-party plugin updates or unauthorized theme code modifications made by third parties.

9. Limitation of Liability

In no event shall Foodwise Digital be liable for indirect, incidental, or consequential damages, including loss of ad revenue, search engine ranking fluctuations, or server downtime. Total agency liability under any claim shall not exceed the total fees paid by Client to Foodwise Digital under the specific SOW.

10. Cancellation

Either party may terminate an active project engagement with written notice. In the event of Client cancellation prior to project completion, Client shall remain responsible for payment corresponding to work performed up to the cancellation date.

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable commercial laws. Any disputes arising hereunder shall be resolved through good-faith negotiation prior to formal arbitration.
